Sprint Nexus Solutions Pvt. Ltd. (“SNS”, “we”, “us” or “our”) provides cloud and infrastructure-focused professional services including Cloud Architecture, Cloud Migration, Managed Cloud, DevOps & Platform Engineering, Cloud Security & Compliance, SaaS & AI Infrastructure, and Cloud Cost Optimization.
These Terms of Service (“Terms”) govern your access to and use of the Sprint Nexus Solutions website and the services provided by SNS. They apply to website visitors as well as customers purchasing or receiving SNS services, except where a separately executed agreement, statement of work, master services agreement, order form, service agreement or other written contract expressly governs a particular service.
By accessing the website, submitting an enquiry, requesting an assessment, purchasing services, signing an agreement or otherwise engaging SNS, you agree to be bound by the applicable provisions of these Terms.
1. Definitions
“Customer” means the individual or legal entity purchasing or receiving SNS services. “Customer Environment” means the cloud accounts, servers, networks, applications, platforms, repositories, infrastructure, systems and other technology resources owned or controlled by the Customer to which SNS is authorized to provide services. “Services” means the cloud, infrastructure, consulting, managed services, engineering, security, optimization and related services provided by SNS.
2. Scope of Services
SNS provides cloud and infrastructure-focused professional services, which may include:
• Cloud Architecture – architecture assessment, design, modernization, scalability and infrastructure planning.
• Cloud Migration – planning, assessment, migration execution, workload transition, validation and migration support.
• Managed Cloud – infrastructure monitoring, administration, maintenance, support, optimization and operational management.
• DevOps & Platform Engineering – CI/CD infrastructure, automation, infrastructure-as-code, container platforms, Kubernetes and platform operations.
• Cloud Security & Compliance – security architecture, hardening, assessment, monitoring, vulnerability management and compliance support.
• SaaS & AI Infrastructure – infrastructure supporting SaaS platforms, AI workloads, GPU workloads, data platforms, APIs and related cloud environments.
• Cloud Cost Optimization – cloud usage analysis, cost optimization, resource rightsizing, governance and financial operations support.
The exact scope, deliverables, assumptions, responsibilities, service levels and fees for a customer engagement will be defined in the applicable proposal, quotation, statement of work, order form or service agreement.
3. Website Use
You may use the SNS website only for lawful purposes and in accordance with these Terms.
The SNS website is an informational property only. It does not use cookies or similar tracking technologies, does not host forms or interactive submissions, and does not otherwise collect personal data from visitors. Any engagement, proposal, or contracting process takes place through direct offline or business channels, not through the website itself.
You must not misuse the website, attempt to gain unauthorized access, interfere with website availability, introduce malicious code, conduct vulnerability testing without authorization, scrape information in a manner that adversely affects the website, impersonate another person or organization, or use the website to violate applicable laws.
4. Eligibility and Authority
If you use SNS services on behalf of an organization, you represent that you have authority to bind that organization to the applicable agreement.
Customers are responsible for ensuring that individuals authorized to communicate with SNS or request changes to infrastructure have appropriate authority within the Customer’s organization.
5. Customer Responsibilities
The Customer is responsible for providing accurate information, timely system access, appropriate authorization, backups unless expressly included, lawful use of supplied materials, timely approvals, and appropriate security controls over systems under the Customer’s responsibility.
6. Authorization to Access Customer Infrastructure
By engaging SNS for services requiring access to a Customer Environment, the Customer authorizes SNS and its authorized personnel to access and administer relevant systems solely to the extent necessary to perform the contracted Services.
Authorized access may include cloud consoles, servers, networks, firewalls, databases, Kubernetes clusters, container platforms, monitoring systems, backup systems, CI/CD infrastructure, security platforms and related infrastructure.
SNS will not intentionally access systems outside the agreed scope unless reasonably necessary for service delivery, security or an authorized investigation.
7. Credentials and Privileged Access
Customers should provide individual, role-based accounts wherever technically possible. Shared administrative credentials should be avoided.
Customers remain responsible for credentials, accounts and permissions they control. SNS may recommend credential rotation, multi-factor authentication, least-privilege access and other security controls.
SNS may suspend or refuse access activities where credentials appear compromised, unauthorized or unsafe.
8. Cloud Provider and Third-Party Services
SNS may recommend, configure, manage or integrate third-party cloud and technology services. Third-party services are subject to the applicable provider’s terms, policies, service levels, pricing and technical limitations. Unless expressly agreed otherwise, SNS is not responsible for failures caused by third-party providers.
9. Cloud Architecture Services
Cloud Architecture services may include assessments, architecture design, modernization recommendations, scalability planning, availability design, security architecture and technology recommendations.
Recommendations are based on information available at the time. Customers remain responsible for final business, regulatory, financial and technology decisions unless expressly assigned to SNS in writing.
10. Cloud Migration Services
Cloud Migration may involve discovery, assessment, planning, workload migration, configuration, testing, cutover and post-migration support.
Migration may involve planned interruptions, DNS changes, configuration changes and other operational risks. SNS will use reasonable professional practices to minimize disruption, but uninterrupted migration outcomes cannot be guaranteed unless expressly agreed.
Customers are responsible for appropriate backups and rollback capability unless SNS has expressly contracted to provide them.
11. Managed Cloud Services
Managed Cloud may include monitoring, administration, patching, incident response, performance management, backup administration, security configuration, capacity management and operational support.
Specific response times, availability commitments, maintenance windows, escalation procedures and service levels will be governed by the applicable SLA or service description.
12. DevOps and Platform Engineering
DevOps and Platform Engineering may include CI/CD infrastructure, infrastructure-as-code, container platforms, Kubernetes, automation, observability, deployment infrastructure and platform operations.
Customers remain responsible for the accuracy, legality and security of application code, data, configurations and deployment artifacts supplied to SNS unless expressly agreed otherwise.
13. Cloud Security and Compliance Services
SNS may provide security architecture, hardening, vulnerability management, security monitoring, configuration reviews, compliance support and related services.
These services are intended to reduce risk and support compliance objectives but do not guarantee that an environment will be completely secure, vulnerability-free or compliant with every applicable regulation.
14. SaaS and AI Infrastructure
SNS may design, deploy and manage infrastructure supporting SaaS platforms, AI workloads, GPU infrastructure, machine-learning workloads, data platforms, APIs, containerized environments and related cloud infrastructure.
SNS provides infrastructure and operational services and does not guarantee the accuracy, performance, availability or output of third-party AI models, applications or platforms unless expressly agreed.
Customers are responsible for ensuring that their use of AI systems, datasets, models, prompts and outputs complies with applicable law, contracts, intellectual-property rights and privacy requirements.
15. Cloud Cost Optimization
SNS may provide recommendations relating to resource rightsizing, architecture, reservations, commitments, utilization, storage, networking and other optimization opportunities.
Cost savings estimates are projections and are not guarantees. Actual costs may vary due to usage, provider pricing, exchange rates, workload behavior, data transfer, licensing and other factors.
16. Change Management
SNS may operate according to documented change-management procedures. Where Customer approval is required, implementation may be delayed until approval is received. Emergency changes may be performed without prior approval where reasonably necessary to protect availability, security or integrity, subject to the applicable agreement.
17. Monitoring, Logging and Observability
Managed and security services may require infrastructure metrics, system logs, audit records, alerts, events and operational telemetry. Customers should avoid unnecessarily placing sensitive personal information, passwords, API keys or other secrets in logs.
18. Backups and Disaster Recovery
Backup and disaster recovery services are provided only where expressly included in the service scope.
Unless expressly agreed otherwise, SNS does not guarantee that every Customer Environment or workload can be restored after every failure, corruption, security incident or disaster.
Customers remain responsible for identifying recovery objectives and approving appropriate recovery requirements.
19. Service Availability and Maintenance
SNS will use commercially reasonable efforts to provide Services according to the applicable scope.
Services may be unavailable due to maintenance, infrastructure failures, third-party outages, security incidents, Customer-controlled systems or circumstances outside SNS’s reasonable control.
20. Fees, Taxes and Payment
Fees will be specified in the applicable quotation, proposal, order form, statement of work or service agreement.
Unless otherwise agreed, fees are exclusive of applicable taxes, duties, cloud-provider charges, licensing fees, third-party service costs and pass-through expenses.
Invoices are payable according to the applicable agreement. SNS may suspend Services for materially overdue undisputed amounts after appropriate notice.
21. Third-Party Cloud and Infrastructure Costs
Unless expressly included in SNS fees, cloud-provider, hosting, licensing, bandwidth, storage, data-transfer, support-plan and other third-party costs are the Customer’s responsibility. SNS is not responsible for third-party price changes.
22. Intellectual Property
SNS retains ownership of pre-existing methodologies, frameworks, templates, tools, scripts, automation techniques, documentation structures, know-how and processes developed independently of a Customer engagement.
Customer-owned materials, data, configurations and proprietary information remain the property of the Customer or its licensors.
Ownership or licensing of specific deliverables created for a Customer will be governed by the applicable statement of work or agreement.
23. Confidentiality
Each party may receive confidential information belonging to the other. Confidential information must be protected using reasonable measures and used only for purposes related to the business relationship.
Where a separate NDA exists, it will govern confidentiality obligations to the extent of any conflict.
24. Customer Data and Privacy
Customer data will be handled in accordance with the SNS Privacy Policy and, where applicable, the Customer agreement, DPA or other contractual privacy terms.
Where SNS processes personal data on behalf of a Customer, SNS will process it only for authorized purposes and in accordance with applicable contractual and legal requirements.
25. Security Responsibilities
SNS and the Customer share responsibility for maintaining Customer Environment security. The specific allocation depends on the service and architecture.
Customers are responsible for security controls over systems, accounts and applications under their control, including access management, endpoint security, application security, credentials, data classification and user permissions.
26. Security Incidents
SNS will use reasonable procedures to identify, investigate and respond to security incidents affecting systems under SNS’s control.
Incident notification obligations, response times, escalation procedures and cooperation requirements may be specified in the applicable security schedule, managed services agreement or SLA.
27. Acceptable Use
Customers must not use SNS Services to facilitate unlawful activity, unauthorized access, malicious attacks, malware distribution, fraud, abuse, intellectual-property infringement, harassment or other prohibited activity.
SNS may suspend activities or access where reasonably necessary to protect systems, personnel, customers, providers or infrastructure.
28. Vulnerability Testing and Security Testing
Customers must obtain appropriate authorization before penetration testing, vulnerability scanning, load testing, denial-of-service testing or other activities that may affect infrastructure managed by SNS or third parties.
SNS may require testing windows, source IP information, scope documentation, emergency contacts and other safeguards before approving testing.
29. Compliance and Regulatory Requirements
Customers are responsible for identifying laws, regulations, standards and contractual requirements applicable to their workloads and data.
SNS may provide technical controls and documentation intended to support compliance objectives, but does not provide legal or regulatory advice unless expressly engaged to do so.
30. Data Residency and Geographic Requirements
Customers requiring specific geographic locations for data storage or processing must communicate those requirements before service implementation.
SNS may recommend architecture and cloud-region configurations designed to meet agreed residency requirements, subject to provider availability and limitations.
31. Service Changes
SNS may modify, improve or discontinue portions of its website or standard service offerings from time to time.
Changes to contracted Services will be governed by the applicable agreement, change request or statement of work.
32. Warranties and Disclaimers
SNS will perform professional Services using reasonable skill and care consistent with generally accepted industry practices.
Except as expressly stated in a written agreement, the website and Services are provided without warranties beyond those that cannot lawfully be excluded. SNS does not guarantee that systems will be uninterrupted, error-free, vulnerability-free or immune from failures caused by third parties, Customer actions or circumstances outside SNS’s reasonable control.
33. Limitation of Liability
To the maximum extent permitted by applicable law, SNS will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, revenue, business opportunity or anticipated savings arising from or related to the Services.
Any limitation or exclusion of liability is subject to applicable law and specific provisions in the customer agreement.
For enterprise customers, liability caps, exclusions and indemnification obligations should be expressly agreed in the MSA or SOW.
34. Indemnification
Where applicable and to the extent permitted by law, the Customer may be responsible for claims arising from unauthorized use of Services, unlawful Customer content or data, infringement caused by Customer-provided materials, or Customer violation of applicable law or contract.
Specific indemnification obligations and procedures should be governed by the customer agreement.
35. Force Majeure
SNS will not be responsible for failure or delay caused by circumstances beyond reasonable control, including natural disasters, government action, war, civil unrest, terrorism, epidemics, power or telecommunications failures, internet outages, cloud-provider failures, widespread cybersecurity incidents or labor disruptions.
36. Suspension of Services
SNS may suspend or restrict Services where reasonably necessary due to security risks, unlawful activity, material breach, non-payment, compromised credentials, infrastructure threats or third-party restrictions.
Where reasonably practicable, SNS will provide notice before suspension and work with the Customer to restore Services after the issue is addressed.
37. Termination
Termination rights and notice periods for contracted Services will be governed by the applicable agreement.
Upon termination, the parties will cooperate regarding outstanding fees, access removal, data return or deletion, transition assistance, credentials and Customer Environment administration.
38. Transition and Offboarding
For managed cloud and infrastructure engagements, SNS may provide reasonable transition assistance following termination where included in the applicable agreement or separately purchased.
Customers remain responsible for ensuring successor providers receive the access, documentation and information necessary to assume responsibility.
39. Audit and Security Assurance
Enterprise customers may request reasonable information regarding SNS security and operational practices, subject to confidentiality, security and commercial considerations.
Specific audit rights, security questionnaires, certifications, assessments, penetration-testing requirements or evidence obligations must be agreed in the applicable customer agreement.
40. Enterprise Service Agreements
For enterprise customers, an MSA, Order Form, SOW, SLA, DPA, Security Addendum or other written agreement may supplement or override these website Terms.
If there is a conflict between these Terms and an executed customer agreement, the executed customer agreement will control to the extent of the conflict.
41. Notices
Formal notices relating to contracted Services will be delivered using the communication methods specified in the applicable agreement.
General website or policy notices may be published through the SNS website or communicated through appropriate electronic channels.
42. Governing Law and Jurisdiction
These Terms will be governed by the laws applicable to SNS as the contracting entity, without regard to conflict-of-law principles, unless a different governing law is expressly agreed in writing.
The parties may specify the applicable governing law, courts, and jurisdiction in the applicable customer agreement. Absent such agreement, the governing law, courts, and jurisdiction applicable to SNS as the contracting entity shall apply.
43. Dispute Resolution
The parties should first attempt to resolve disputes through good-faith discussions between authorized representatives.
Where required or agreed, disputes may be referred to mediation or arbitration under the procedure specified in the applicable customer agreement.
44. Changes to These Terms
SNS may update these website Terms from time to time to reflect changes in services, technology, business practices or applicable legal requirements.
Updated Terms will be published with a revised Last Updated date. Material changes affecting existing contracted Services will be governed by the applicable customer agreement.
45. Severability
If any provision is determined to be invalid, illegal or unenforceable, it will be interpreted to the maximum extent permitted by law and the remaining provisions will remain in effect.
46. No Waiver
A failure or delay by SNS in enforcing any provision will not constitute a waiver of its right to enforce that provision or any other provision in the future.
47. Entire Agreement
For website use, these Terms together with the SNS Privacy Policy and other applicable website policies constitute the agreement governing website use.
For contracted Services, the applicable executed agreement and its incorporated documents constitute the agreement between SNS and the Customer.
